1. Introduction

This End User Service Agreement ("Agreement" or "Terms") is a legal contract between you ("Customer") and SpecFunnel, LLC ("SpecFunnel," "we," "us," or "our"), governing your subscription to and use of our services. By activating or using our Services, you agree to these Terms. If you do not agree, do not use the Service.

If you are accepting this Agreement on behalf of a business entity, you confirm that you have the authority to bind that entity to these Terms.

SPECFUNNEL WILL PROVIDE YOU ACCESS TO THE SERVICE ON A SUBSCRIPTION OR PER-PROJECT BASIS ONLY UPON CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS AGREEMENT. IF YOU ACTIVATE OR OTHERWISE USE THE SERVICE, YOU AGREE TO BE BOUND BY ALL THE TERMS CONTAINED IN THIS AGREEMENT.

2. Definitions

  • Aggregated Data: Data that has been anonymized and combined with other customer data to generate insights, trends, and analytics.
  • Authorized User: Persons acting as an agent of the Customer and granted access to the Service by the Customer.
  • Customer Content: Any content, including construction specifications, plans, drawings, inspection reports, and related data, uploaded to the Service or provided by the Customer in connection with the Services.
  • Customer Data: Personally identifiable information provided by the Customer.
  • Order Form: A document or online selection specifying subscription or per-project details, including price and duration.
  • Output: Any data, reports, ITP logs, or information generated by the Service.
  • Service: Access to SpecFunnel's proprietary software, AI-powered extraction tools, and related services.
  • Software: SpecFunnel's software programs, user interfaces, and related technology used to provide the Services.
  • Subscription Fee / Project Fee: The amount paid by the Customer for access to the Service, whether on a subscription or per-project basis.

3. Service Access and Use

SpecFunnel grants the Customer and its Authorized Users a limited, non-exclusive, non-transferable right to use the Service in accordance with this Agreement.

Customer shall be responsible for:

  • All activities that occur under Customer's account
  • All actions of Customer and its Authorized Users
  • Ensuring compliance with all system requirements for accessing the Service
  • Notifying SpecFunnel of any unauthorized use of passwords or accounts, or any suspected security breach
  • Protecting login credentials, passwords, and personal devices used to access the Service. SpecFunnel is not liable for unauthorized access resulting from Customer's failure to safeguard credentials

Customer and Authorized Users agree NOT to:

  • Share login credentials with unauthorized persons
  • Copy, reverse engineer, decompile, disassemble, decode, adapt, or otherwise attempt to discover the source code, object code, or underlying algorithms of the Service
  • Modify, translate, or create derivative works based on the Service
  • Access or use the Service for timesharing, reselling, or the benefit of unauthorized third parties
  • Upload unlawful, infringing, libelous, or tortious material, or material that violates third-party rights
  • Interfere with the operation of the Service or attempt to manipulate, circumvent, or "break" the Service's functionality
  • Use the Service for any unlawful purpose

4. Payment Terms

  • Per-Project Fees: Due upon activation of the Service for a specific project.
  • Subscription Fees: Due upon activation and will automatically renew upon expiration unless either party provides written notice at least thirty (30) days prior to the expiration date.
  • All payments are non-refundable, except in cases of material breach by SpecFunnel.
  • The Customer is responsible for all applicable taxes.
  • SpecFunnel reserves the right to suspend access for non-payment after a 10-day written notice period.

5. Data Privacy and Security

  • SpecFunnel processes Customer Data for the provision and improvement of Services.
  • The Customer remains the data owner. SpecFunnel acts as the data processor.
  • SpecFunnel may use Aggregated Data for analytics, research, and service improvements, provided that such data does not identify the Customer or any individual.
  • The Customer must ensure compliance with all applicable privacy and data protection laws.

6. Customer Content

  • SpecFunnel will process Customer Content in order to provide and enhance the Services.
  • The Customer is at all times the data controller. SpecFunnel is the data processor.
  • Customer grants SpecFunnel a non-exclusive, worldwide, royalty-free, transferable, and fully paid license to use, modify, and process Customer Content as necessary to provide and enhance the Services, including training and improving AI models.
  • All rights in Customer Content not expressly granted to SpecFunnel are reserved by Customer.
  • Customer represents and warrants that: (a) it has all necessary rights to provide Customer Content to SpecFunnel; (b) Customer Content will not infringe or violate the rights of any third party; and (c) Customer Content will not be deceptive, defamatory, obscene, or unlawful.
  • Customer has sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all Customer Content.

7. AI Models and Machine Learning

Customer acknowledges and agrees that SpecFunnel may use Customer Content to develop, train, and improve its machine learning models, algorithms, and AI features ("Machine Learning Features"). SpecFunnel shall be the exclusive owner of all intellectual property rights in such Machine Learning Features. Machine Learning Features will not disclose any Customer Confidential Information.

Customer grants SpecFunnel a non-exclusive, perpetual, worldwide, royalty-free license to use Customer Content and Aggregated Data for the purpose of providing and improving the Service, including developing Machine Learning Features.

Opt-Out of AI Training: Customer may opt out of having future Customer Content used for AI model training by emailing info@specfunnel.com with the subject line "Do Not Train on My Data." Upon receipt of a valid opt-out request, SpecFunnel will exclude future Customer Content uploads from model training. Customer Content already incorporated into trained models prior to the opt-out request cannot be retroactively removed. The opt-out does not affect SpecFunnel's right to use Customer Content to provide the Service itself.

8. Third-Party Sub-Processors

Customer acknowledges and agrees that SpecFunnel utilizes the following third-party sub-processors to provide the Services:

  • OpenAI — AI processing and natural language analysis. Customer Content (including construction specifications, plans, and drawings) is transmitted to OpenAI's API for extraction and analysis.
  • Supabase — Database hosting, file storage, and backend infrastructure.
  • Clerk — User authentication and identity management.
  • Stripe — Payment processing.
  • Render — Application hosting and background processing.

Customer Content processed by OpenAI is subject to OpenAI's usage policies. Customer agrees not to upload content that violates OpenAI's usage policies or any applicable law. SpecFunnel is not liable for any actions taken by sub-processors in accordance with their own terms of service and privacy policies.

9. Data Processing and Transfers

SpecFunnel may transfer and process Customer Content and Customer Data in the United States or any other country in which SpecFunnel or its affiliates or subcontractors maintain facilities. Customer appoints SpecFunnel to perform any such transfer in compliance with the terms of this Agreement.

10. Service Limitations and No Professional Services Disclaimer

  • The Service is intended to assist Customer with analyzing construction specifications, plans, and generating inspection and testing plans (ITP logs). All Output is for informational purposes only and is not a substitute for professional judgment.
  • While the Service has safeguards in place, it may occasionally generate incorrect, incomplete, or misleading information due to the nature of AI processing.
  • Customer should not rely on Output without independent verification by qualified professionals.
  • SpecFunnel does not guarantee that Output will be accurate, complete, or error-free.
  • Customer's use of the Service is at Customer's sole risk.

NO PROFESSIONAL SERVICES:

SPECFUNNEL IS NOT PROVIDING ENGINEERING, ARCHITECTURE, CONSTRUCTION MANAGEMENT, OR ANY OTHER PROFESSIONAL SERVICES. THE SERVICE IS A SOFTWARE TOOL ONLY. SPECFUNNEL IS NOT A LICENSED ENGINEER, ARCHITECT, CONTRACTOR, OR CONSTRUCTION MANAGER. OUTPUT GENERATED BY THE SERVICE DOES NOT CONSTITUTE PROFESSIONAL ADVICE, ENGINEERING JUDGMENT, OR A PROFESSIONAL OPINION OF ANY KIND. CUSTOMER IS SOLELY RESPONSIBLE FOR ALL CONSTRUCTION DECISIONS, QUALITY CONTROL, INSPECTION COMPLIANCE, AND SAFETY OUTCOMES. CUSTOMER MUST INDEPENDENTLY VERIFY ALL OUTPUT WITH QUALIFIED LICENSED PROFESSIONALS BEFORE RELYING UPON IT FOR ANY PURPOSE.

CONSTRUCTION LIABILITY WAIVER:

SPECFUNNEL SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY PROPERTY DAMAGE, PERSONAL INJURY, DEATH, CONSTRUCTION DEFECTS, STRUCTURAL FAILURES, CODE VIOLATIONS, REGULATORY NON-COMPLIANCE, MISSED INSPECTIONS, FAILED INSPECTIONS, OR ANY OTHER LOSS OR DAMAGE ARISING FROM OR RELATED TO: (A) CUSTOMER'S USE OF OR RELIANCE ON OUTPUT GENERATED BY THE SERVICE; (B) ANY OMISSION, ERROR, OR INACCURACY IN OUTPUT; (C) CUSTOMER'S FAILURE TO INDEPENDENTLY VERIFY OUTPUT; OR (D) ANY CONSTRUCTION ACTIVITY UNDERTAKEN IN CONNECTION WITH OR INFORMED BY THE SERVICE. BY USING THE SERVICE, CUSTOMER EXPRESSLY WAIVES AND RELEASES ALL SUCH CLAIMS AGAINST SPECFUNNEL.

SPECFUNNEL DOES NOT MAKE ANY WARRANTY THAT THE SERVICE, INCLUDING ANY OUTPUTS, WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY PARTICULAR RESULT, BE COMPATIBLE WITH ANY SOFTWARE OR SYSTEM, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR-FREE.

SPECFUNNEL HAS NO OBLIGATION OR LIABILITY FOR ANY LOSS, ALTERATION, DESTRUCTION, DAMAGE, CORRUPTION, OR RECOVERY OF CUSTOMER CONTENT UPLOADED TO THE SERVICE. THE SERVICE IS NOT INTENDED TO REPLACE REGULAR DATA BACKUPS.

11. Intellectual Property

  • SpecFunnel retains all rights to its Software, Services, and all improvements, enhancements, and modifications thereto.
  • All intellectual property developed in connection with the Service, including Machine Learning Features, algorithms, performance data, and aggregate analytics, is owned exclusively by SpecFunnel.
  • Customer Content remains the property of the Customer.
  • Aggregated Data derived from Customer Content is owned by SpecFunnel and may be used for product development, industry insights, and service improvements.
  • Any feedback, suggestions, or recommendations provided by Customer may be freely used by SpecFunnel for service improvement without obligation.

12. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SPECFUNNEL DOES NOT WARRANT THE ACCURACY, ADEQUACY, OR COMPLETENESS OF ANY CONTENT OR OUTPUT PROVIDED BY THE SERVICE. ALL OUTPUT IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON WITHOUT INDEPENDENT PROFESSIONAL VERIFICATION.

YOU ACKNOWLEDGE THAT OUTPUT IS GENERATED USING ARTIFICIAL INTELLIGENCE AND MAY PRODUCE INACCURATE RESULTS. THE SERVICE IS A TOOL TO ASSIST WITH CONSTRUCTION DOCUMENT ANALYSIS BUT IS NOT A SUBSTITUTE FOR QUALIFIED PROFESSIONAL EXPERTISE.

  • SpecFunnel is not responsible for errors, interruptions, or data loss.
  • SpecFunnel's total liability shall not exceed the amount actually paid by the Customer to SpecFunnel in the twelve (12) months preceding a claim.
  • In no event shall SpecFunnel be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • The Service may be temporarily unavailable for scheduled or emergency maintenance. SpecFunnel will use commercially reasonable efforts to provide advance notice of scheduled disruptions.

STATUTE OF LIMITATIONS:

ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. ANY CLAIM NOT BROUGHT WITHIN THIS PERIOD IS PERMANENTLY BARRED. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.

13. Suspension, Term, and Termination

Suspension

SpecFunnel reserves the right to suspend Customer's access to the Service, in whole or in part, immediately and without prior notice, if:

  • Customer is in breach of this Agreement, including non-payment of fees;
  • Customer's use of the Service poses a security risk or may adversely impact the Service or other customers;
  • Customer's use of the Service may subject SpecFunnel to liability;
  • Customer's account is suspected of fraudulent or unauthorized activity; or
  • Required by law or a governmental authority.

SpecFunnel will use commercially reasonable efforts to notify Customer of the suspension and the reason for it. Suspension does not relieve Customer of payment obligations. SpecFunnel will restore access promptly after the issue giving rise to suspension is resolved.

Term and Termination

  • This Agreement remains in effect for the duration specified in the applicable Order Form or for the duration of the per-project engagement.
  • Subscriptions automatically renew unless either party provides written notice at least thirty (30) days prior to expiration.
  • Either party may terminate for material breach with 30 days' written notice (or 10 days for non-payment).
  • Upon termination, Customer will have thirty (30) days to export Customer Content from the Service. SpecFunnel will provide reasonable access to the Service during this period solely for data export purposes.
  • After the 30-day export period, Customer access to the Service will be revoked and SpecFunnel may permanently delete all Customer Content.
  • If Customer discontinues use for convenience, no refund of fees already paid will be issued.

14. Data Breach Notification

In the event of a security breach that results in unauthorized access to, or disclosure of, Customer Data or Customer Content, SpecFunnel will notify affected Customers without unreasonable delay. Notification will be provided via email to the address associated with the Customer's account and, where required by applicable law, to the relevant supervisory authorities. The notification will include: (a) a description of the nature of the breach; (b) the categories and approximate number of records affected; (c) the likely consequences of the breach; and (d) the measures taken or proposed to address the breach and mitigate its effects.

15. Indemnification

During the Term, Customer shall defend, indemnify, and hold harmless SpecFunnel and its officers, directors, employees, agents, successors, and assigns from and against any claims, damages, liabilities, judgments, settlements, losses, costs, or expenses (including reasonable attorneys' fees) arising out of:

  • Processing of Customer Data within the scope of this Agreement
  • Customer's misuse of the intellectual property rights of any third party
  • Any Customer Content that may violate the rights of third parties
  • Customer's breach of this Agreement

16. Confidentiality

Both parties agree to keep all confidential information private and secure. Confidential information includes, but is not limited to, business plans, technical data, customer lists, pricing, and proprietary methodologies.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is rightfully obtained from a third party without restriction.

17. Dispute Resolution and Arbitration

The parties agree that any dispute, claim, or controversy arising out of or relating to this Agreement, or the use of the Services, shall be resolved through binding arbitration and not in court. This includes disputes regarding the existence, breach, termination, enforcement, interpretation, or validity of this Agreement.

Arbitration Terms:

  • Arbitration shall be administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules.
  • Arbitration shall take place in San Francisco, California, before one arbitrator.
  • The arbitrator shall have exclusive authority to resolve all threshold arbitrability issues.
  • Each party waives the right to a jury trial.

No Class Action:

Both parties agree that disputes will be resolved only on an individual basis. Neither party may bring claims as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims.

Exceptions to Arbitration:

  • Small Claims Court: Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
  • Injunctive Relief: Either party may seek emergency injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. This includes, but is not limited to, claims related to intellectual property infringement, breach of confidentiality, or unauthorized access to the Service.

The arbitration will be governed by the AAA Consumer Arbitration Rules available at www.adr.org.

18. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

19. Assignment

Neither party may assign this Agreement without the other party's prior written consent, except that SpecFunnel may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

20. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, strikes, government actions, internet or power outages, or failures of third-party services.

21. Electronic Communications Consent

By using the Service, you consent to receive communications from SpecFunnel electronically, including via email, in-app notifications, and notices posted on the Service. You agree that all agreements, notices, disclosures, and other communications that SpecFunnel provides to you electronically satisfy any legal requirement that such communications be in writing, pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and any applicable state laws.

22. Copyright and DMCA

SpecFunnel respects the intellectual property rights of others. If you believe that content available on or through our Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (DMCA) by providing the following information to info@specfunnel.com:

  • A description of the copyrighted work you claim has been infringed;
  • A description of where the infringing material is located on the Service;
  • Your contact information (name, address, phone number, email);
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and
  • Your physical or electronic signature.

Upon receipt of a valid DMCA notice, SpecFunnel will remove or disable access to the allegedly infringing material and notify the user who uploaded it. Repeat infringers may have their accounts terminated.

23. Notices

All notices required or permitted under this Agreement shall be in writing and delivered by email. Notices to SpecFunnel shall be sent to info@specfunnel.com. Notices to Customer shall be sent to the email address associated with the Customer's account. Notices shall be deemed delivered upon sending, provided no bounce-back or delivery failure is received. For legal notices requiring formal service (e.g., arbitration demands, claims), notice shall be sent via email with confirmation of receipt or via nationally recognized overnight courier.

24. Waiver

The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future. Any waiver must be in writing and signed by the waiving party to be effective.

25. No Third-Party Beneficiaries

This Agreement is for the sole benefit of SpecFunnel and Customer (and their respective permitted successors and assigns). Nothing in this Agreement, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature under or by reason of this Agreement. The relationship of the parties is that of independent contractors, and nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship.

26. Severability

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

27. Entire Agreement

This Agreement, together with the Privacy Policy and any applicable Order Forms, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior understandings, written or oral. If there is any conflict between this Agreement and an Order Form, the Order Form shall prevail. The provisions of Sections 10, 11, 12, 15, 16, 17, 22, and 25 shall survive any termination of this Agreement.

28. Changes to These Terms

SpecFunnel reserves the right to update these Terms at any time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
